1. About these terms
These terms are an agreement between you and Asyscraft (“we”, “us”), which provides AsysConnect (the “Service”) through its website, apps and API. By creating an account or using the Service you agree to these terms and to our Privacy Policy.
The Service is for businesses and professionals. If you accept these terms for a company or other organisation, you confirm you have the authority to bind it, and “you” means that organisation. You must be at least 18 years old.
2. Accounts and workspaces
- Give accurate details when you sign up and keep them up to date.
- Keep your password safe. You are responsible for what happens under your account and in your workspace, including what the team members you invite do.
- The workspace owner controls who has access and which role each person has. Tell us straight away if you think someone has used your account without permission.
3. The service
AsysConnect lets you connect a WhatsApp Business number, manage contacts, talk to customers from a shared inbox, send template broadcasts and pay for messages from a prepaid wallet. We keep improving the Service and may add, change or remove features. If we remove a feature you rely on in a significant way, we will tell you in advance where we reasonably can. Features marked “beta” or “coming soon” are offered as they are and may change.
4. WhatsApp and other providers
The Service uses the WhatsApp Business Platform provided by Meta Platforms, Inc. and its affiliates (“Meta”). When you connect a number you also enter into Meta’s own terms, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy, and you must follow them.
- Meta decides whether to approve your business, phone number and message templates, sets messaging limits and quality ratings, and may restrict or ban a number. We cannot overrule those decisions and are not responsible for them.
- Online payments are processed by our payment partner (currently Razorpay) under its own terms. We do not see or store your full card or bank details.
- We are not responsible for outages or changes at Meta, telecom operators, payment partners or app stores, although we will work to limit their effect on you.
5. Acceptable use
You agree that you and your team will:
- Message only people who have given you permission to contact them on WhatsApp, keep a record of that permission, and stop messaging anyone who asks you to stop (for example by replying STOP).
- Not send spam, misleading or fraudulent messages, or content that is unlawful, abusive, obscene, defamatory, or that infringes anyone’s rights.
- Not use the Service for goods or services that WhatsApp’s Commerce Policy or Indian law prohibits, or to impersonate another person or business.
- Follow the laws that apply to your messages, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, consumer protection law and, for SMS when we offer it, the TRAI rules on commercial communication.
- Not try to break, overload, copy, resell or reverse-engineer the Service, get around its limits or security, or access another workspace’s data.
We may remove content, pause broadcasts or suspend access if we reasonably believe these rules are being broken, or if Meta or an authority asks us to.
6. Your content and your customers’ data
You own the contacts, messages, templates and files you add to the Service (“your content”). You give us permission to store, process and send your content only to run the Service for you, keep it secure and meet legal duties.
For your customers’ personal data you are the Data Fiduciary under the Digital Personal Data Protection Act, 2023, and we act as your Data Processor: we process it on your instructions and as our Privacy Policy describes. You are responsible for having a lawful basis, such as consent, to collect it and to message those people, and for answering their requests about their data. We will help you with those requests where we reasonably can.
7. Wallet, prices and payment
- The Service is prepaid. You add money to your workspace wallet, and each message is charged from it at the price for its category (for example marketing, utility or authentication) shown in your account when it is sent. A broadcast needs enough balance for the messages it sends.
- GST and other applicable taxes are added to each top-up and shown before you pay. A tax invoice is issued for each top-up.
- If a charged message cannot be sent or WhatsApp reports it as failed, its charge is returned to your wallet automatically.
- Wallet balance can be used only for the Service. It does not earn interest, cannot be transferred to another workspace and is not a deposit or stored-value instrument.
- We may change prices. New prices apply to messages sent after the change, and we will show them in your account and tell you by email at least 7 days in advance, except where the change comes from Meta or a change in tax.
8. Refunds
- If a payment was taken twice or taken without balance being added, contact us and we will refund it to the original payment method.
- If you close your workspace, you can ask for the unused balance within 90 days of closing. We refund it to the original payment method, less any payment gateway charges and any amount you owe us.
- If we close your workspace without cause, we refund the unused balance in full. If we close it because these terms were broken, we may keep the balance to cover losses, charges or penalties that resulted.
9. Suspension and closing an account
You can stop using the Service at any time and ask us to close your workspace. We may suspend or close a workspace if you break these terms, do not pay amounts due, if Meta or an authority requires it, or to protect the Service or other users. Where it is reasonable and lawful we will warn you first and give you a chance to fix the problem. After closure we delete your content as our Privacy Policy describes.
10. Availability and support
We work to keep the Service available and secure, but we do not promise it will be uninterrupted or error-free. We may carry out maintenance, which we try to schedule at quiet times. Support is available through support tickets in your account and the contact details on our website.
11. Our intellectual property
The Service, its software, design and the AsysConnect name and logo belong to Asyscraft. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. If you send us feedback or ideas, we may use them without owing you anything.
12. Disclaimers
Apart from what these terms say, the Service is provided “as is” and “as available”. To the extent the law allows, we do not give other promises, for example that the Service will meet a particular need, that Meta will approve a template or number, or that messages will be delivered or read.
13. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data. Our total liability for all claims about the Service is limited to the amounts you paid us in the 12 months before the event that led to the claim. Nothing in these terms limits liability that cannot be limited by law.
14. Indemnity
You will compensate us for reasonable losses, costs and claims from third parties (including Meta, regulators and message recipients) that result from your content, your messages or your breach of these terms or of the law.
15. Changes to these terms
We may update these terms. If a change is significant, we will tell you by email or in the Service at least 15 days before it takes effect. If you keep using the Service after that, the new terms apply; if you do not agree, you can close your account.
16. Governing law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute with you informally. If that fails, the courts at the city of our registered office have exclusive jurisdiction.
17. Grievances and contact
For questions about these terms or complaints about the Service or content on it, contact our Grievance Officer. We acknowledge complaints within 24 hours and aim to resolve them within 15 days.
